Good morning Antonio,

Many thanks for your email and for your willingness to serve on the 
AFTLD Executive Commitee. Below please find what this role entails:

Based directly on the AFTLD Constitution (the governing document for  
Africa Top Level Domains Organization),  the role of an EXCOM member is 
explained below:

Definition of an EXCOM Member

The Constitution defines the Executive Committee as "the directors 
numbering not less than the required quorum acting together as the 
executive committee of the Company. EXCOM members are therefore 
directors of Africa Top Level Domains Organization, and must all be 
representatives of Full Members.

Composition

The Executive Committee shall consist of not less than 3 and not more 
than 7 directors. The General Assembly appoints one member as 
Chairperson and another as Treasurer, with the rest serving as 
functional directors.

Key Roles and Powers

According to the AFTLD Constitution, EXCOM members collectively are 
responsible for:

- Running the organization — The EXCOM is elected by the General 
Assembly to run the organization in accordance with the wishes of AFTLD 
members
-Strategic direction — Providing strategic direction and assisting the 
Secretariat to implement operational decisions
-Admitting members — Admitting Full Members, Associate Members, and 
Observers on application
-Calling General Meetings — Convening Annual and Special Meetings of 
Members
-Financial oversight — Managing membership fees (subject to General 
Assembly approval), waiving fees, and overseeing the company's financial 
affairs
-Filling casual vacancies — Appointing directors to fill vacancies 
between AGMs
-Suspending memberships — Suspending a membership where it is in the 
interests of the Company, pending termination by the General Assembly
- Ensuring minutes are kept — Maintaining records of all General Meeting 
proceedings

Term of Office and Eligibility

An EXCOM member serves a term commencing at the end of the AGM at which 
they are appointed and expiring at the end of the second AGM after that. 
A member is eligible for one immediate re-appointment, but after a 
second term must wait at least two years before being eligible again. At 
every AGM, one-third of directors must retire by rotation.

Voting

Every EXCOM member has one vote at Executive Committee meetings. The 
Constitution does not transfer EXCOM management decisions to the General 
Assembly — resolutions passed at a General Meeting recommending 
management actions are explicitly stated to be non-binding on the 
Executive Committee.
